Terms of Service

These Terms constitute a legally binding agreement between you ("Client", "you", "your") and Forge & Field, a sole trader / consultancy operating from Matamata, Waikato, New Zealand.

If you are using our services on behalf of a business, you represent that you have authority to bind that business to these Terms.

If you do not agree to these Terms, please do not use our website or services.

Forge & Field provides AI consultancy services including but not limited to:

• AI Audit (online) — a complimentary automated assessment tool; the required starting point for all paid services
• Quick Wins — targeted implementation of 1–2 specific AI automations
• Discovery & Audit — on-site workflow mapping, team interviews, and AI opportunity assessment
• AI Automation Setup — broader automation across multiple workflows or systems
• Full FORGE Programme — end-to-end AI integration across your business operations
• Monthly Advisory — ongoing strategic AI guidance and support

A client portal account may be created for you upon purchase of a paid service. You are responsible for keeping your login credentials confidential and notifying us immediately at [email protected] if you suspect unauthorised access.

All prices are in New Zealand Dollars (NZD) and are GST-inclusive unless otherwise stated. Payment is processed securely via Stripe.

These refund terms are in addition to your rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986.

The online AI Audit tool provides AI-generated recommendations. You acknowledge that:

• Results are informational only and do not constitute professional legal, financial, or technical advice.
• The accuracy of recommendations depends on the accuracy and completeness of the information you provide.
• AI-generated content may contain errors or omissions.
• Your audit responses are processed by OpenAI's API as described in our Privacy Policy.

All content on this website is owned by or licensed to Forge & Field. Upon full payment of fees, we grant you a non-exclusive, perpetual licence to use deliverables created specifically for you within your business. Forge & Field retains ownership of underlying methodologies, frameworks, and tools.

You retain full ownership of all data, content, and information you provide to us.

We treat all business information you share with us as confidential. We will not disclose your confidential business information to third parties except to our service providers who need it, with your consent, or where required by law.

Our confidentiality obligations survive the termination of our engagement for a period of 3 years.

You agree not to use our website or services to violate any applicable law, submit false information, attempt to gain unauthorised access to our systems, or transmit malware or harmful code.

To the maximum extent permitted by New Zealand law, Forge & Field's total liability to you for any claim is limited to the fees paid by you in the 3 months preceding the event giving rise to the claim.

We are not liable for any indirect, incidental, consequential, or punitive loss or damage; loss of profit, revenue, data, or business opportunity; or errors in AI-generated recommendations that you have implemented without independent verification.

If you are a consumer within the meaning of the Consumer Guarantees Act 1993 (CGA), you have rights that cannot be excluded including that services will be carried out with reasonable care and skill.

If you are acquiring our services for business purposes, the guarantees under the CGA do not apply and our liability is limited as set out in section 9.

Either party may terminate an engagement by providing written notice as specified in the relevant Statement of Work or engagement letter.

We may immediately suspend or terminate your access if you breach these Terms and fail to remedy the breach within 7 days of written notice, become insolvent, or engage in fraudulent or illegal conduct.

These Terms are governed by the laws of New Zealand. Any dispute will be subject to the non-exclusive jurisdiction of the New Zealand courts.

We may update these Terms from time to time. For material changes, we will notify existing clients by email at least 14 days before the changes take effect. Continued use of our services after the effective date constitutes your acceptance.
